Terms of Service for Scalerify.com – SaaS solutions

1. Definitions

• "Service(s)": Refers to the Scalerify.com website, applications, software, tools, data, and all related services we provide.
• "User," "you," "your": Refers to the individual or entity that registers for or uses our Services.
• "Free Services": Refers to the parts of our Service that are accessible without a paid subscription, which may be supported by advertising.
• "Premium Services": Refers to the advanced features, tools, and functionalities of our Service accessible only through a paid subscription plan.
• "Subscription": Refers to the paid plan that grants you access to the Premium Services.
• "User Data": Refers to the data, information, and content you connect, upload, or sync with the Service, including but not limited to your Amazon Seller Central data and Amazon Advertising campaign data.
• "Amazon": Refers to Amazon.com, Inc., its affiliates, and its platform services like Amazon Seller Central and Amazon Advertising.

2. The Service & Account Registration

• Service Description: Our Service provides tools and analytics designed to help Amazon sellers optimize their business operations and advertising campaigns on the Amazon platform. The Service is offered in two tiers: Free Services and Premium Services.
• Account Registration: To use our Services, you must create an account. You agree to provide accurate, current, and complete information during the registration process. You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
• Eligibility: You must be at least 18 years old and have the legal capacity to enter into this agreement.

3. Free Services & Advertising

• Availability: We offer certain Free Services that are accessible without charge. We reserve the right to modify, limit, or discontinue the Free Services at any time, with or without notice.
• Advertising: You acknowledge and agree that the Free Services may be supported by advertising revenue and may display advertisements and promotions. We are not responsible for the content, products, or services offered by third-party advertisers. Your interactions with any advertisers found on or through the Service are solely between you and such advertisers.

4. Premium Services, Subscriptions, and Payments

• Subscription: Access to Premium Services requires an active, paid monthly Subscription. By purchasing a Subscription, you agree to pay the fees specified at the time of purchase.
• Billing Cycle & Automatic Renewal: Subscriptions are billed on a monthly basis. YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING CYCLE UNLESS YOU CANCEL IT. You authorize us to charge your chosen payment method for the renewal term.
• Payment: You must provide a valid payment method (e.g., credit card) to purchase a Subscription. You represent and warrant that you are authorized to use the payment method you provide.
• Price Changes: We reserve the right to change our Subscription fees at any time. We will provide you with at least thirty (30) days' notice of any fee changes by posting the new prices on our Site or sending you an email. Your continued use of the Premium Services after the price change constitutes your agreement to pay the new amount.
• Cancellation: You may cancel your Subscription at any time through your account settings. The cancellation will take effect at the end of your current billing period. You will retain access to the Premium Services until the end of that period.
• No Refunds: Subscription fees are non-refundable. We do not provide refunds or credits for any partial subscription periods or unused services. Please refer to our separate Refund Policy for any exceptions, if applicable.

5. Amazon Account Integration

• Authorization: To use the core functionality of our Service, you must connect your Amazon Seller Central and/or Amazon Advertising account(s). By doing so, you expressly authorize us to access, retrieve, and use your User Data from Amazon on your behalf to provide the Services.
• Your Responsibility: You are solely responsible for complying with all applicable Amazon terms of service. We are not liable for any action taken by Amazon against your account.
• Disclaimer: Scalerify.com is not affiliated with, endorsed by, or sponsored by Amazon. We are an independent third-party service provider.

6. User Conduct and Responsibilities

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights.
• Infringe upon our intellectual property rights or the intellectual property rights of others.
• Reverse engineer, decompile, or otherwise attempt to discover the source code of our software.
• Use any automated system (e.g., bots, scrapers) to access the Service in a manner that sends more request messages to our servers than a human can reasonably produce in the same period.
• Upload or transmit any viruses, malware, or other malicious code.
• Interfere with or disrupt the integrity or performance of the Service.

7. Intellectual Property Rights

• Our IP: We own all right, title, and interest in and to the Service, including all software, text, graphics, logos, and all other intellectual property associated with it. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service strictly in accordance with these Terms.
• Your IP: You retain all ownership rights to your User Data. You grant us a worldwide, non-exclusive, royalty-free license to use, process, and display your User Data solely for the purpose of providing and improving the Service. We may also use anonymized and aggregated User Data for analytical purposes, provided it does not identify you or your specific business data.

8. Term and Termination

• Term: These Terms will remain in effect as long as you use our Services.
• Termination by You: You may terminate this agreement at any time by canceling your Subscription and ceasing to use the Service.
• Termination by Us: We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, particularly if we believe you have breached these Terms.
• Effect of Termination: Upon termination, your right to use the Service will cease immediately. We will have no obligation to maintain or forward any of your User Data. Sections 7, 9, 10, 11, 12, and 13 will survive termination.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Scalerify.com, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
• (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
• (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND
• (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS YOU PAID TO US FOR THE PREMIUM SERVICES IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

You agree to defend, indemnify, and hold harmless Scalerify.com and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) your violation of these Terms or any applicable law.

12. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the state of Florida, United States, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the federal or state courts located in Hallandale Beach/Broward County.

13. General Provisions

• Changes to Terms: We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
• Entire Agreement: These Terms constitute the entire agreement between you and us regarding our Service and supersede and replace any prior agreements.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in effect.
