Acceptance of terms

These terms of service (the “Terms”) are a legally binding agreement between you and Scalerify Management LLC, a Delaware limited liability company operating principally out of Miami, Florida (“Scalerify”, “we”, “us” or “our”). By accessing or using the Scalerify platform, this website (scalerify.com) and the Scalerify Verified service (together, the “Services”), you agree to be bound by these Terms. If you do not agree, you must not use our Services.

Description of the services

Scalerify provides Amazon brand verification and financial reconciliation for e-commerce acquisitions. With the seller's authorization, we read Amazon Seller Central data through the Selling Partner API (SP-API), limited to financial, order, inventory and account data, with no changes made to the account. We match it to the bank statements and supplier invoices the seller shares, to reconstruct the profit and loss statement, reconcile settlements and produce the Scalerify Score.

Using the site

The site describes a service. Nothing on it is an offer, a commitment to verify a brand, or a commitment to arrange financing. A verification begins only once we have accepted a request in writing and the seller has connected Seller Central.

API integration and data access

To produce a Verified report, a seller must grant Scalerify access limited to reading financial, order and inventory data, with no changes made to the account. You represent and warrant that you have the legal authority to grant that access. The access is revocable at any time; how to revoke it is set out in our privacy notice. Scalerify is not responsible for limitations, API outages or data inaccuracies originating from Amazon or from any third-party financial institution.

How that data is processed, who processes it with us, and how it is deleted are set out in our data processing agreement, which forms part of these Terms.

Pricing, delivery and refunds

The Red Flag Scan is free. A Deal-Killer Report is $2,500 for asking prices under $1M and $3,900 from $1M to $3M, paid when we accept the request; the first three clients pay $1,500 in exchange for a named case study. If a report is not delivered within 48 hours of receiving complete data, it is free. If the report surfaces nothing that changes your decision or your negotiation, the price is refunded in full. Scalerify never guarantees the outcome of a deal. Pricing is subject to change.

Intellectual property

Our methodologies, the Scalerify Score and its weighting, our report templates and the content of this site are the exclusive intellectual property of Scalerify Management LLC. You may not reverse-engineer, scrape or commercially exploit them without our express written consent. What else is out of bounds is set out in our acceptable use policy.

Reports

A Verified report is an information product. What it is and is not is set out in the report disclaimer, which forms part of these Terms.

Limitation of liability and M&A risk

E-commerce mergers and acquisitions carry substantial financial risk. Scalerify acts only as a data verification and technology layer, not as a licensed broker-dealer, financial advisor or legal counsel. To the maximum extent permitted by law, Scalerify Management LLC is not liable for any direct, indirect, incidental or consequential damages arising from a delayed deal, a failed acquisition, a lender rejection or a post-acquisition account suspension.

Our total liability for any report or service is limited to the fee paid for it.

Financing

Scalerify does not lend. Where a verified file is routed to lenders or investors the client designates in writing, any term sheet, condition or decision is theirs, not ours.

Governing law and disputes

These Terms, and any dispute arising from them, are governed by the laws of the State of Delaware, without regard to its conflict of law principles. You agree that any legal action or proceeding is brought exclusively in the state or federal courts located in the State of Florida.
